When you complete your W-9, don't forget the little line at the end of the second row of entity options. If you are taxed as a sole proprietor, single-member LLC choosing to file as a disregarded entity, use "D". In this case your business tax return is a Schedule C or C-EZ within your regular 1040. If you're taxed as a Partnership, LLC, or not, you file a separate business return on Form 1065 - and you'll use "P" on this line. If you are any kind of entity at all that has elected to be taxed as a corporation, or if you organized as a corporation to begin with - any kind of corporation - use "C".

If you're thinking of either buying or selling a business, you most assuredly do need to either develop expertise equivalent to an accountant and attorney, or consult an accountant and an attorney. Every kind of business has multiple kinds of assets - cash, fixed assets, and goodwill, at a minimum. Each of these is treated differently for tax purposes. The buyer and the seller must agree on exactly how much is attributable to each type of asset. Of course what's best for the seller, tax-wise, may not be best for the buyer. Both parties need to understand both the legal and tax implications of the sale or there is a high likelihood of some serious trauma down the road.

PAYING TAXES ON YOUR STATE REFUND: There isn't much that ticks people off more than learning they are paying taxes on their state refunds from the year before. The initial reaction is that you're paying taxes on that money AGAIN! It just "ain't" so. Here's the scoop. You only pay taxes on the refund if you were able to deduct that refund from your taxable income the year before. You reduced your Federal Taxable income by the amount you paid to the state. Then you filed your state return and found that you had paid too much and you're going to get a refund. That means you deducted money on your Schedule A that the state is going to give you back. So, not only do you not pay taxes twice, you had tax free, interest free, use of that money for the year.

WORKING IN MORE THAN ONE STATE: If you are a CT (or any other state) resident, you will pay income taxes to any "other" state you work in as though you were a resident of that state. When completing your CT (home state) return, you will calculate your income as though it was all earned in CT. Then you will take a credit for the amount of taxes you paid to other states. If you paid more to other states than you would have paid if you had earned the money in CT, you do not get a refund of the difference. If your taxes in CT are greater than the amount of money you paid to other states, you pay CT the difference.

1. Exemptions reduce your taxable income. There are two types of exemptions: personal exemptions and exemptions for dependents. For each exemption you can deduct $3,700 on your 2011 tax return.
